Description:OverviewThe Paralegal / Contract Administrator serves as the single pint of contact for legal issues and coordinates the handling of these issues between Franchise Operations, field personnel and the Legal Department on a daily basis. The position also interacts with other various corporate departments to help resolve franchise related legal issues with coordination from contract attorneys. In addition, the Paralegal works with the corporate attorney for the annual updating of the Uniform Offering Circular which is federally required and is the mechanism through which Campero USA Corp is able to sell franchisees throughout the United States. Summary of Key Responsibilities Review and approve the entity structure of prospective franchisees per Campero USA Corp Policy and legal recommendation Serve as the initial point of contact for internal field operations personnel to determine whether an issue should be escalated to the legal department for further handling/analysis. This role will possess the necessary legal acumen to limit the number of escalations Provide detailed review of contractual documentation prior to submittal to prospective franchisee to prevent potential legal issues from arising. Track and develop issues list identifying potential legal problems in contract Manage and provide initial response to requests on franchise contract issues raised by Franchise Licensing Managers, Franchise Consultants, Real Estate team, Franchise Administration staff, etc. Act as liaison on franchise administration issues between various internal groups, including operations (field personnel), Real Estate and Legal, identifying and coordinating certain legal issues with the corporate attorney(s). Prepare summary statement capturing issues for legal review Coordinate, gather and track all pertinent information and documents as they relate to litigation, franchise administration, land sales, or any other issues regarding franchise administration. Maintain database for sites that contain summary of legal issues Act as lead in developing and fostering relationship with Campero USA Corp attorney(s) and associated department as it relates to franchise contracts Provide closed loop resolution communication to field personnel regarding pending legal issues related to operating agreement Compose draft correspondence, including Notice of Termination, Notice of Non Renewal, Agreement extensions as well as other documents, and prepare and issue legal notification to our Franchisees in the manner and timing legally required under the direction of our attorney(s) Research requests from department and/or attorney(s) and paralegals for pending litigation Annually coordinate updating of the Uniform Franchise Offering Circulars. Interface with Legal, Marketing, and other departments to gather pertinent data. Work with our attorney(s) to update and to produce the new Circulars Author and send out ?Summary of Changes? document on regular basis to franchisees Maintenance and upkeep of the franchise agreement merge documents used by the franchise coordinators to create the franchise agreements Work with Franchise department to develop more robust reporting surrounding default issues. Highlight notable sites with multiple defaults Ensure timely payment of department invoices and proper assignment of expenses to various department budgets Organize and maintain department business files, including chronology correspondence files, ticklers, indexes etc. Provide assistance to attorney(s) and department in filing, maintenance and prosecution of trademarks and copyrights Draft transmittal letters and other routine correspondence; monitor and maintain transaction correspondence and transaction files; maintain status report on all current acquisitions and franchisees, both internal and external; maintain year to date files on letters of intent and confidentiality agreements; arrange UCC searches and summarize results thereof. Prepare and distribute closing index and binders; complete and organize corporate files; disseminate information and documents within the company; assist in transition matters Assist with conducting background checks Provide support to Construction and Real Estate departments in location, approval and leasing/ purchasing of real estate Provide support to attorney in various other corporate, transaction and franchise matters Assist Finance/Accounting department on collection of Royalties and/or associated fees _____________________________________________________________________________________ Requirements Bachelor?s Degree required (Paralegal Certification is a plus) Must have strong legal competence and familiarity with contractual law 3 - 5 years experience as Franchise Coordinator or comparable position with equivalent experience Strong PC skills (Microsoft Office) as well as the ability to navigate and use business systems software Excellent communication skills both verbal and written Extensive knowledge of terms of franchise contracts, applicable local, state and federal laws, and internal credit and legal policies is preferred Demonstrated problem solving, multi-tasking aptitude and analytical skills, with attention to detail and ability to meet deadlines.
