Description:Overview :Position Summary: The position will be responsible for all phases of review and negotiation of contracts for Medicis Pharmaceutical Corp. and its subsidiaries. This position will also perform legal and regulatory due diligence, provide litigation support, prepare and maintain corporate subsidiary, Board and Committee records. This position will be responsible for supporting the General Counsel & Corporate Secretary, Assistant General Counsel of Regulatory and a Senior Attorney within the Legal Department. Responsibilities will include but are not limited to the following: -Review, revise/draft contracts -Identify legal and business issues with contracts and interact with in-house clients and attorneys as well as outside counsel -Process negotiated/final contracts through the signature process -Be familiar with due diligence as it relates to mergers and acquisitions and assist as needed -Be familiar with discovery document gathering and assist as needed -Be familiar with litigation proceedings and pleadings and assist as needed -Interact with outside counsel and insurance agents regarding litigation matters -Prepare responses to interrogatories and other discovery requests -Conduct legal research and provide analysis of results -Prepare Board and Shareholder and other corporate records and maintain corporate minute books for all subsidiaries -Review and approve all annual report filings for domestic and foreign qualifications - Interact with outside counsel to review, revise/draft Board and Committee-related agenda items and resolutions, when necessary - Assist with Board package preparation and production, when necessary - Assist with regulatory research, regulatory filings and comments on advertising and other promotional material Responsibilities : Review, drafting and negotiating contracts Assistance with litigation matters Performance of due diligence Corporate subsidiary, Board and Shareholder records Assistance with Board and Committee preparation and production of materials Assist with regulatory research, regulatory filings and comments on advertising and other promotional material Qualifications : Associates degree in a related field is required, BS degree preferred Experience (3-5 years) working as a paralegal preferably with contracts and some litigation support In-house or corporate experience is highly preferred and will be given first consideration Paralegal certification is highly desirable AA/EEO Employer
