Position Overview:
The Paralegal supports the attorneys in the legal department who oversee commercial property and casualty insurance lines of business. Researches law, investigates facts, and prepares documents to assist the General Counsel and Legal Department.
Essential Functions:
Independently handles complex legal research and writing projects as assigned. Provides support for litigation, including case research and preparation of reports and legal memoranda.
Acts independently to assist attorneys in preparing for transactional closings, depositions, hearings and conferences. Completes many administrative tasks, including individual cases or transactions.
Investigates internal facts underlying a transaction or case and prepares exhibits, charts and diagrams to display information.
Drafts legal documents such as contracts, real estate leases and closing documents, under
in-house counsel supervision.
Keeps and maintains corporate records and materials such as corporate certificates of good standing, real estate and title information, and securities filings
Organizes, maintains and tracks files of important transactional or litigation matters including corporate research, pleadings and voluminous discovery documents.
Supports the Corporate Secretarial/Corporate Governance process (Board and Shareholder Meetings, etc.) Coordinates with Corporate Secretary and applicable management personnel to prepare agendas, minutes and related documents for Board of Directors meetings. Provides logistical support for meetings of Boards of Directors and subcommittees. Researches business legal issues and prepares various corporate documents (e.g. corporate/regulatory filings, merger-related documents, dissolutions, by-laws). Organizes, manages and maintains historical corporate governance records of Board and Shareholder activities and activities of Board committees and subcommittees.
Monitors legislative and regulatory developments affecting insurance industry operations and prepares and distributes written summaries of changing laws or regulations as needed. Distributes relevant communications from state insurance departments and other organizations to affected business units. Generates direct responses to insurance departments working with the General Counsel.
Monitors and maintains all corporate licenses including producer, insurer, surplus lines, adjuster, cover holder, and other licenses required for the organizations.
Independently manages consumer complaints function.
Independently manages, disseminates and serves as interface/point of contact between business units and external constituencies for routine communications from State insurance and other regulators (e.g. Business Continuity Plans, climate surveys, diversity surveys, insurance department notices, Guaranty Association proxies, and the like).
Interacts effectively with all business units and personnel as necessary to fully and effectively perform the functions described above.
This position has no supervisory responsibilities.
Education & Experience:
Bachelors degree preferred. Paralegal Certificate is required.
5+ years of experience providing paralegal support for law firm or in-house Legal/General Counsel function is required.
Ability to handle a high volume of work, including research and legislative requests, effectively under pressure.
Working knowledge of property/casualty insurance industry laws and regulatory environment preferred.
Strong analytical, communication and organizational skills.
NJ paralegal certification
Fluency with various legal research engines, including Westlaw, Lexus/Nexus, Wolters Kluwer;
Must demonstrate a proven ability to engage in higher order, independent critical thinking and judgment for certain aspects of the job, as well as the ability to deftly and independently handle administrative and other aspects of the job;
Fluency with handling Apostille/legalization process for validation/use of US documents in non-US jurisdictions;
Familiarity with insurance licensing a plus;
May need to obtain individual insurance producer licensing for requirement for NY and NJ
